Terms of Service.

These Terms of Service ("Terms") govern access to and use of the VendorClear platform, websites, and related services (the "Service") operated by BidWell ("VendorClear," "we," "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the agency or organization you represent.
1. The Service
VendorClear provides vendor responsibility screening for public agencies. The Service queries public and commercial data sources, cross-references vendor disclosures against those sources, and produces reports for use by agencies in their own procurement processes. Source coverage depends on data availability and agreements.
VendorClear supports — and does not replace — agency responsibility determinations. Reports are informational; each agency remains solely responsible for its own procurement decisions and determinations.
2. Accounts
You must provide accurate, current information when creating an account and keep your credentials secure. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms or applicable law.
3. Agency use
Agency accounts are provided at no charge. Agencies may use reports and related materials solely in connection with their own procurement and vendor-management activities, subject to applicable public-records and records-retention obligations.
4. Vendor use and fees
Vendors pay a one-time application fee per agency and a recurring fee that keeps their record active. Current fees are disclosed in the vendor portal before any charge is made. Fees are non-refundable except where required by law. If a vendor's record becomes inactive, the associated agency is notified and previously delivered reports remain with the agency.
5. Accuracy and disputes
Data is drawn from third-party sources and may contain errors or omissions. Vendors are shown flagged findings before a report is released to the agency and may attach context, documentation, or corrections, which are delivered alongside the findings. If you believe information in the Service is inaccurate, contact support@vendorclear.com.
6. Acceptable use
- Do not misrepresent your identity, authority, or affiliation.
- Do not submit false or misleading disclosures or documentation.
- Do not attempt to probe, disrupt, or gain unauthorized access to the Service.
- Do not resell, scrape, or redistribute the Service or its reports outside your organization.
7. Intellectual property
The Service, including its software, design, and content (excluding materials you submit and underlying public records), is owned by BidWell and its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
8. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or non-infringement. VendorClear does not warrant that reports are complete or error-free.
9. Limitation of liability
To the maximum extent permitted by law, BidWell will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from or related to the Service. Our aggregate liability for any claim is limited to the amounts paid by you to VendorClear in the twelve months preceding the claim, or one hundred U.S. dollars if you have paid nothing.
10. Termination
You may close your account at any time. We may suspend or terminate access for breach of these Terms, misuse of the Service, or as required by law. Sections that by their nature should survive termination do survive, including disclaimers, limitations of liability, and intellectual-property provisions.
11. Changes
We may update these Terms from time to time. Material changes will be posted on this page with an updated date; continued use of the Service after changes take effect constitutes acceptance.
